Annual Report preparation and filing - $34.99, plus state filing fees (between $138.00 and $150.00).

Terms of Service

By accessing or using this site, or submitting the form above, you hereby agree to the following terms and conditions:

  1. SCS Registered Agent, LLC (“SCS”) is engaged in providing registered agent services and annual report preparation and filing services. These terms and conditions form the complete agreement between SCS and you and between SCS and any company for which you submit the form above (the “Company”).

  2. All fees paid to SCS are non-refundable, unless SCS fails to timely prepare or file an annual report for which it has previously been paid.

  3. SCS shall use commercially reasonable efforts to notify you regarding any service of process received by SCS and directed to Company. These efforts may include emailing you or Company a copy of any document(s) or received or mailing you or Company a copy of any document(s) received.

  4. SCS shall not be required to forward any mail received for you or Company at its address.

  5. Any and all disputes between you or Company and SCS arising from or relating to this website, these terms of service, or SCS’ provision of services to you or Company, shall be subject to binding arbitration pursuant to the then applicable rules of the American Arbitration Association. The exclusive venue for any such arbitration shall be in Hillsborough County, Florida. You, Company, and SCS, hereby expressly waive any right to a jury trial. You, Company, and SCS hereby agree to bear all your own attorneys’ fees and costs, including the costs of arbitration, in any such dispute.

  6. Credit card numbers provided shall be billed annually for registered agent services and as needed for annual report preparation and filing services. SCS reserves the right to charge any credit card provided in advance of actually preparing or filing any annual report.

  7. Annual reports will be filed based on information provided by you or Company. If Company fails to timely respond to SCS’ requests for updates, information, or changes to annual report information, SCS shall file the annual report using the information already contained in the annual report.

  8. SCS and you and Company hereby waive and disclaim any right to recover any consequential damages from each other, including, but not limited, to lost profits, loss of use, attorneys’ fees, costs, default judgments, default damages, and related damages.

  9. SCS and you and Company hereby agree that the maximum liability that can be imposed on any party for damages sought arising from or relating to these terms of service or SCS’ provision of services to you or Company, shall be $500.00.
